Brokerage Terms and Conditions
Effective Date: March 1, 2025

These Terms and Conditions ("Agreement") govern transactions between Carpe Diem Holdings, LLC DBA Green Wave Polymers ("Broker"), a Wyoming limited liability company, and any party purchasing or selling scrap or regrind plastic materials through Broker ("Customer"). By engaging in any transaction with Broker, Customer agrees to the following terms:

1. Scope of Services

Broker acts solely as an intermediary connecting parties interested in buying or selling scrap or regrind plastic materials ("Material"). Broker does not take title to, possess, or assume responsibility for the physical handling, storage, or transport of the Material.

2. Title and Risk of Loss

Title and risk of loss for the Material shall transfer directly between the original seller and the Customer upon release from the designated shipping point. Broker shall bear no risk or liability for the Material at any point before, during, or after shipment.

3. Transportation and Handling

Customer is solely responsible for:

• Arranging transportation if not managed by the original seller.
• Any damage, loss, contamination, theft, or environmental incidents occurring during transit.
• Ensuring unloading, storage, and usage complies with applicable laws and regulations.

Broker is not responsible for any incidents, claims, or costs related to:

• Transportation accidents.
• Environmental cleanup or hazardous material handling.
• Third-party claims following transfer from the seller’s shipping point.

4. Material Disclaimer

All Materials are sold "AS IS," "WHERE IS," and "WITH ALL FAULTS". Broker makes no warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose. Broker disclaims responsibility for quality, consistency, or performance of the Material.

5. Indemnification

Customer agrees to indemnify, defend, and hold harmless Broker and its members, officers, and agents from any claims, damages, liabilities, or expenses arising from:

• Customer’s use, storage,  handling, resale, or supply of the Material;
• Breach of these Terms;
• Any legal or regulatory actions associated with Customer’s involvement in the transaction.

6. Limitation of Liability

Broker’s total liability in any transaction shall be limited to the brokerage fee received. Broker shall not be liable for indirect, incidental, consequential, or punitive damages.

7. Compliance with Law

Customer is solely responsible for complying with all federal, state, and local regulations governing the use, transport, handling, and disposal of the Material.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

9. Entire Agreement

These Terms represent the full agreement between the parties and supersede any prior verbal or written communications regarding the subject matter.
